1. Introduction and Acceptance

1.1 These Terms of Service ("Terms") govern your access to and use of the website available at https://nordihaus.de, including all related pages, accounts, features, and services (together, the "Services"). The Services are provided by Nordihaus LLC, a limited liability company with its address at 75 E 3rd St, Sheridan, WY 82801, United States ("Nordihaus," "we," "us," or "our").

1.2 By creating an Account, purchasing a Paid Plan or a Listing Package, submitting an inquiry through the Services, or otherwise accessing or using the Services, you agree to be bound by these Terms. When you make a purchase, you will also be asked to confirm your acceptance of these Terms before completing your order. If you do not agree to these Terms, you must not use the Services.

1.3 If you use the Services on behalf of a company, brokerage, agency, or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" refers to both you and that organization.

1.4 The following documents, available on the Website, supplement these Terms and form part of your agreement with us: the Refund and Cancellation Policy, the Right of Withdrawal information for consumers, and the Disclaimer. Our Privacy Policy and Cookie Policy explain how we process personal data and use cookies and similar technologies. In the event of a conflict between these Terms and a supplementary document, these Terms prevail unless the supplementary document expressly states otherwise.

1.5 Nothing in these Terms limits any rights you have as a consumer under mandatory laws of your country of residence that cannot be excluded or limited by contract.

2. Definitions

In these Terms, the following terms have the meanings set out below:

"Account" means a user account registered on the Website.
"AI Features" means features of the Services that generate content using automated systems or artificial intelligence, including location analyses, property analyses, and the AI adviser offered under the name "Frag Nordi."
"Basic Plan" means the free plan offering basic access to the Services, as described on the Website.
"Business User" means a user who acts for purposes relating to a trade, business, craft, or profession, including real estate brokers and agencies.
"Consumer" means a natural person who uses the Services for purposes that are wholly or mainly outside that person's trade, business, craft, or profession.
"Listing" means a presentation of a property published on the Website, including its description, photographs, price information, location information, and other details.
"Listing Materials" means all information, links, text, photographs, floor plans, documents, and other materials that a Seller provides or refers us to for the purpose of creating or updating a Listing.
"Listing Package" means a paid package for the publication of a Listing on the Website, as described on the Website at the time of purchase.
"Nordi+ Monthly" means the Nordi+ plan billed on a recurring monthly basis, as described on the Website.
"Nordi+ 3-Month Pass" means the Nordi+ plan purchased for a single payment for a fixed period of three months, which does not renew automatically, as described on the Website.
"Paid Plan" means Nordi+ Monthly or the Nordi+ 3-Month Pass.
"Payment Processor" means a third-party provider that processes payments on our behalf, including Stripe.
"Seller" means a property owner, an authorized representative of a property owner, or a real estate broker or agency that orders a Listing Package or otherwise provides Listing Materials to us.
"Subscription" means a Paid Plan that renews automatically, which at the Effective Date is Nordi+ Monthly.
"Third-Party Content" means content provided by persons other than Nordihaus, including Listing Materials, information from real estate brokers and other third parties, and content on external websites.
"User Content" means any content you submit, upload, or transmit through the Services, including Listing Materials, inquiries, messages, prompts submitted to AI Features, and feedback.
"Website" means https://nordihaus.de and its subpages.

3. About the Services

3.1 Description of the Services

Nordihaus operates a German-language online platform that provides information about real estate located in Sweden. The Services may include property Listings, search and filter functions, email notifications about new Listings, regional and market information, articles, AI Features, user support, the ability to contact Sellers or brokers, and Listing services for Sellers. The specific features included in each plan or package are described on the Website at the time of purchase.

3.2 Nordihaus Is Not a Real Estate Broker

Nordihaus is not a real estate broker or agent. Nordihaus does not act as an intermediary between buyers and sellers, does not negotiate on behalf of any party, does not arrange or mediate purchase agreements, and is not a party to any agreement concluded between users, Sellers, brokers, banks, or other third parties. The Services do not include the handling of any deposit, down payment, or purchase price for a property.

3.3 No Professional Advice

All information provided through the Services, including Listings, articles, regional information, AI-generated content, and responses from our support, is provided for general informational purposes only. It does not constitute legal, tax, financial, investment, lending, valuation, surveying, construction, or real estate advice. Before making any decision relating to the purchase, sale, financing, inspection, or use of a property, you should obtain advice from appropriately qualified professionals. Further information is set out in our Disclaimer.

3.4 Support

Where support is included in your plan, it is provided through the channels made available on the Website. Support is limited to general information and assistance relating to the Services. Availability and response times may vary and are not guaranteed.

4. Eligibility

4.1 You must be at least 18 years old and have the legal capacity to enter into a binding contract in order to create an Account, purchase a Paid Plan or Listing Package, or submit Listing Materials.

4.2 You may not use the Services if you are prohibited from doing so under applicable law, or if we have previously suspended or terminated your Account for a breach of these Terms, unless we have expressly agreed otherwise.

4.3 The Services are not directed to children, and we do not knowingly allow persons under 18 to register or make purchases.

5. Accounts

5.1 Certain features, including the Basic Plan and Paid Plans, require you to register an Account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

5.2 Your Account is personal to you. You may not share your login credentials, allow others to access your Account, or transfer your Account to another person. Paid Plans are licensed for use by one individual unless we have expressly agreed otherwise in writing.

5.3 You are responsible for keeping your login credentials confidential and for all activity that occurs under your Account. If you become aware of any unauthorized use of your Account, you must notify us without undue delay at info@nordihaus.de.

5.4 We may refuse a registration or require verification of the information you provide where we have a legitimate reason to do so, for example to prevent fraud or misuse of the Services.

5.5 You may request closure of your Account at any time by contacting us at info@nordihaus.de. A request to close your Account will be treated as a cancellation of any active Subscription in accordance with Section 12. Closing your Account does not by itself entitle you to a refund; refunds are governed by Section 13 and the Refund and Cancellation Policy.

6. Plans for Property Buyers

6.1 Available Plans

We currently offer the following plans for users searching for property: the Basic Plan, which is free of charge; Nordi+ Monthly; and the Nordi+ 3-Month Pass. The features, prices, and conditions of each plan are displayed on the Website at the time of purchase. We may offer additional or different plans in the future, which will be described on the Website.

6.2 Nordi+ Monthly

Nordi+ Monthly is a Subscription that is billed monthly in advance. It renews automatically for successive one-month billing periods until it is cancelled. There is no minimum term. You may cancel Nordi+ Monthly at any time in accordance with Section 12, and the cancellation takes effect at the end of the billing period in which it is received, unless you specify a later date.

6.3 Nordi+ 3-Month Pass

The Nordi+ 3-Month Pass is purchased for a single payment and provides access to the Nordi+ features for a period of three months, beginning when access is activated. It is not a Subscription. It ends automatically at the end of the three-month period, does not renew, and does not result in any further charges. Any new pass purchased afterwards is a separate purchase.

6.4 Money-Back Guarantee

As indicated on the Website, Paid Plans are offered with a 14-day money-back guarantee. The conditions, procedure, and timing of refunds under this guarantee are set out in the Refund and Cancellation Policy. The money-back guarantee applies in addition to, and does not limit, any statutory rights you may have.

6.5 Changes to Plan Features

We may improve, modify, add, or remove features of the Basic Plan and Paid Plans from time to time. If a change materially reduces the features of a Paid Plan during a period for which you have already paid, we will inform you, and you may cancel your Paid Plan. Your rights under the Refund and Cancellation Policy and applicable law remain unaffected.

7. Listing Services for Sellers

7.1 Who May Order a Listing

Listing Packages may be ordered only by the owner of the property concerned, a person authorized by the owner to market the property, or a real estate broker or agency acting on behalf of the owner. By ordering a Listing Package, you confirm that you hold such ownership or authorization.

7.2 Ordering Process

To order a Listing Package, you provide a link to an existing online presentation of the property or, if the property is not yet presented online, a description of the property, and you then provide photographs and other Listing Materials as requested. You select a Listing Package and pay the applicable one-time fee. The contract for the Listing Package is concluded when you complete the order and payment process.

7.3 Preparation of the Listing

Based on the Listing Materials, we prepare a German-language Listing. In doing so, we may translate, summarize, structure, shorten, or format the Listing Materials and select images for presentation. You are responsible for reviewing the published Listing and informing us promptly of any inaccuracies, so that we can correct them.

7.4 Review and Publication

We review Listings before publication. We aim to publish Listings within the timeframe indicated on the Website, calculated from our receipt of complete Listing Materials. These timeframes are estimates and are not guaranteed. We may request additional information or materials where needed to prepare an accurate Listing. We may decline to publish a Listing if it does not comply with these Terms or applicable law; in that case, the Refund and Cancellation Policy applies.

7.5 Term of a Listing

Each Listing remains online for the duration of the purchased Listing Package, calculated from the date of publication, unless it is removed earlier in accordance with these Terms. Listing Packages do not renew automatically. We may send you a reminder before a Listing expires. To extend a Listing, you must purchase a new Listing Package.

7.6 Featured and Preferred Placement

Where a Listing Package includes featured or preferred placement, the Listing will be displayed with the prominence described for that package on the Website. Featured or preferred placement does not guarantee a specific position, a number of views or inquiries, or a sale of the property.

7.7 Properties Already on the Platform

If the property is already presented on the Website, we may apply the purchased Listing Package to the existing Listing, for example by upgrading its placement, instead of creating a new Listing.

7.8 Inquiries from Interested Buyers

Interested buyers may contact Sellers through the contact form on a Listing. Inquiries are forwarded to the email address provided by the Seller. Nordihaus is not a party to any communication or negotiation between a Seller and an interested buyer. Sellers are responsible for responding to inquiries and for handling any personal data they receive in compliance with applicable data protection laws.

7.9 Seller Obligations

As a Seller, you confirm and agree that:

all Listing Materials are accurate, complete, current, and not misleading, including information about price, size, condition, charges, and encumbrances known to you;
you own or have obtained all rights, licenses, and consents necessary to provide the Listing Materials to us and to allow us to use them as described in these Terms, including rights to photographs and texts created by third parties;
the property is actually available for sale at the time of ordering the Listing Package;
the Listing Materials do not infringe the rights of any third party and do not contain unlawful, discriminatory, or deceptive content;
you comply with all laws applicable to the marketing and sale of the property, including any rules applicable to real estate brokers where relevant; and
you will inform us without undue delay if the property is sold, withdrawn from sale, or if material information in the Listing changes.

7.10 Sale or Withdrawal Before Expiry

If the property is sold or withdrawn from sale before the end of the Listing term, please inform us and we will take the Listing offline. Any refund in such a case is governed by the Refund and Cancellation Policy.

7.11 Our Rights Regarding Listings

We may edit, suspend, or remove a Listing, in whole or in part, if we reasonably believe that it is inaccurate, misleading, fraudulent, unlawful, infringes the rights of a third party, violates these Terms, or if we receive a credible notice of infringement or illegality. Where reasonably possible and legally permitted, we will inform you of the action taken and the reasons for it.

7.12 Brokers and Agencies

Real estate brokers and agencies wishing to present multiple properties may contact us to agree individual arrangements. Where such an individual agreement exists in writing, its terms prevail over these Terms to the extent of any conflict.

8. Listings and Third-Party Information

8.1 Listings are based on information provided by Sellers, real estate brokers, or other third parties. We do not verify the accuracy, completeness, or legality of this information, and we do not inspect properties. Listings may be incomplete, outdated, or inaccurate, and a property may already be sold, reserved, or withdrawn from sale at the time you view it.

8.2 Descriptions may be translated from other languages or prepared with the help of automated tools. Translations and summaries may contain errors or omissions. Where information in a Listing differs from the information provided by the Seller or broker, the information provided by the Seller or broker should be treated as authoritative.

8.3 Prices may be shown in Swedish kronor or other currencies. Any currency conversions are approximate and for information only. Location information and maps may be approximate.

8.4 Photographs and descriptions may not reflect the current condition of a property. Before submitting a bid, paying any amount, or signing any agreement, you should verify all information directly with the Seller or the responsible broker and obtain independent inspections and professional advice as appropriate.

9. Transactions with Sellers, Brokers, and Other Third Parties

9.1 Any communication, viewing, bid, negotiation, purchase agreement, financing arrangement, or other transaction between you and a Seller, broker, bank, authority, or other third party is solely between you and that third party. Nordihaus has no responsibility or liability for such transactions or for the conduct of third parties.

9.2 Please exercise caution. Be wary of requests to pay deposits, reservation fees, or purchase price amounts outside a regular, documented purchase process, requests to transfer money to accounts that you cannot verify, and offers that appear unusually favorable. Verify the identity of any broker or seller before paying any amount. If you believe a Listing may be fraudulent, please report it to info@nordihaus.de.

9.3 Payments to Nordihaus relate only to Paid Plans, Listing Packages, or other services expressly offered by Nordihaus on the Website or agreed with us in writing.

10. AI Features

10.1 Certain features of the Services use automated systems and artificial intelligence to generate content, such as location analyses, property analyses, and answers from the AI adviser "Frag Nordi." When you use the AI adviser, you are interacting with an automated system and not with a human.

10.2 AI-generated content is produced automatically and may be inaccurate, incomplete, outdated, or inappropriate for your situation. It is provided for general information only and does not constitute professional advice of any kind. You should not rely on AI-generated content as the sole basis for any decision and should verify important information independently.

10.3 You should not submit sensitive personal data, confidential information, or personal data of other persons to AI Features unless this is necessary for your request. Information you submit to AI Features is processed as described in our Privacy Policy and may be processed with the help of third-party technology providers.

10.4 AI-generated content may be similar or identical to content generated for other users. We may change, limit, or discontinue AI Features at any time, subject to Section 6.5.

10.5 You may not use AI Features to generate unlawful, harmful, or infringing content, to attempt to extract the underlying models, prompts, or data, or to circumvent any limitations or safeguards.

11. Fees, Payment, and Billing

11.1 Prices and Taxes

Prices for Paid Plans and Listing Packages are displayed on the Website at the time of purchase, in the currency shown at checkout. Information on whether prices include applicable taxes, such as value added tax (VAT), is displayed on the Website or at checkout. Any taxes that apply to your purchase will be shown before you complete your order.

11.2 Payment Methods

Payments are made by credit or debit card through Stripe. Payment by ACH transfer or wire transfer is available only where agreed with us in writing. The payment methods available for a particular purchase are shown at checkout or in the applicable invoice or written agreement. Card payments through Stripe are processed by Stripe as our Payment Processor, and Nordihaus does not need to store full payment card numbers on its own systems. Your use of a payment method may also be subject to the terms of the Payment Processor and of your bank or card issuer.

11.3 Payment Authorization

By providing a payment method, you confirm that you are authorized to use it, and you authorize us and our Payment Processor to charge the applicable fees to that payment method. For Nordi+ Monthly, you authorize us and our Payment Processor to charge the then-current monthly fee at the beginning of each billing period until your Subscription is cancelled. For the Nordi+ 3-Month Pass and Listing Packages, you authorize a single charge for the purchase you make.

11.4 ACH and Wire Transfers

Where you pay by ACH transfer or wire transfer, you are responsible for using the payment details and reference provided by us. Unless otherwise agreed in writing, fees charged by your own bank or by intermediary banks for a transfer you initiate are your responsibility. We will provide the purchased Paid Plan or Listing Package after the payment has been received in full.

11.5 Failed Payments

If a payment cannot be processed, we may notify you and attempt the charge again, and we may suspend access to paid features until the outstanding amount has been paid. You remain entitled to cancel your Subscription at any time in accordance with Section 12.

11.6 Price Changes

We may change our prices for future purchases at any time. Price changes do not affect purchases already made. For an active Subscription, we will notify you by email in advance before a new price applies, and the new price will apply only from the start of a billing period following the notice. You may cancel your Subscription before the new price takes effect. Where applicable law requires your consent to a price change, we will request it.

11.7 Purchase Confirmation

We or our Payment Processor will send a confirmation of your purchase to the email address you provide. Please keep your contact information up to date so that you receive confirmations and notices.

11.8 Billing Errors

If you believe that you have been charged in error, please contact us at info@nordihaus.de as soon as possible and provide the details of the charge. We will review the matter and, where a charge was made in error, correct it.

11.9 Chargebacks and Payment Disputes

If you have a concern about a charge, we encourage you to contact us first at info@nordihaus.de, as most issues can be resolved quickly and directly. If you initiate a chargeback or payment dispute, we may provide the Payment Processor, your bank, or your card issuer with information relevant to the transaction, including order details, confirmation of your acceptance of these Terms, and records of your use of the Services. While a chargeback or payment dispute is pending, we may suspend access to the paid features concerned. If a chargeback is resolved in our favor, amounts owed remain payable. Nothing in this Section limits your statutory rights or any rights you have under the rules of your card issuer or payment network.

12. Cancellation

12.1 Cancelling Nordi+ Monthly

You may cancel Nordi+ Monthly at any time, without giving reasons, using any of the following methods:

through the subscription settings in your Account profile;
through the online cancellation page on the Website, which can be used without logging in; or
by email to info@nordihaus.de, stating your name and the email address associated with your Account.

An ordinary cancellation takes effect at the end of the billing period in which it is received, or on a later date that you specify. You will retain access to the Nordi+ features until the cancellation takes effect, and no further charges will be made after that date. We will confirm receipt of your cancellation by email.

12.2 Cancellation for Good Cause

Where applicable law grants you a right to terminate a contract for good cause, you may exercise that right through the same methods, stating the reason for termination.

12.3 Fixed-Term Purchases

The Nordi+ 3-Month Pass and Listing Packages end automatically at the end of their respective terms and do not require cancellation. Ending the use of such a purchase before the end of its term does not by itself entitle you to a refund; refunds are governed by Section 13 and the Refund and Cancellation Policy.

12.4 Cancellation and Withdrawal

Cancellation ends a Subscription for the future. It is different from the statutory right of withdrawal described in Section 14 and from the money-back guarantee described in Section 6.4.

13. Refunds

13.1 Refund eligibility, conditions, procedure, and timing are set out in our Refund and Cancellation Policy, which forms part of these Terms.

13.2 Nothing in these Terms or in the Refund and Cancellation Policy limits any refund or other rights that you have under mandatory applicable law, including statutory rights of withdrawal and rights relating to services that are not provided as agreed.

14. Right of Withdrawal for Consumers

14.1 If you are a Consumer and the laws of your country of residence grant you a statutory right of withdrawal for contracts concluded online, including Consumers resident in the European Union or the European Economic Area, you may withdraw from a contract with us within 14 days of the conclusion of the contract without giving reasons.

14.2 To exercise the right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement, for example by email to info@nordihaus.de. Further details, including a model withdrawal form, are set out in the Right of Withdrawal information available on the Website.

14.3 If you expressly request that we begin providing the Services before the end of the withdrawal period, your right of withdrawal may expire once the Services have been fully provided, provided that you acknowledged this before your purchase. If you withdraw after having requested that we begin providing the Services, you may be required to pay an amount proportionate to the Services provided up to the time you informed us of your withdrawal, to the extent permitted by applicable law.

14.4 The statutory right of withdrawal applies only to Consumers. It exists independently of, and in addition to, the money-back guarantee for Paid Plans.

15. Acceptable Use and Prohibited Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

provide false, inaccurate, or misleading information, including in Listing Materials or when registering an Account;
publish or submit Listings for properties that do not exist, are not available for sale, or that you are not authorized to market;
use the Services to commit or facilitate fraud, including advance-payment fraud or requests for payments outside a regular purchase process;
share your Account or Paid Plan access with others, or resell, sublicense, or commercially redistribute access to the Services;
copy, scrape, harvest, or systematically extract Listings, images, or other content from the Services by automated or manual means, or build a database or competing service from such content;
circumvent, disable, or interfere with access restrictions, paywalls, usage limits, or security features of the Services;
send unsolicited advertising, spam, or harassing, threatening, or abusive messages to Sellers, brokers, or other users;
use contact details obtained through the Services for purposes other than a genuine inquiry about the property concerned;
upload or transmit viruses, malware, or other harmful code, or place an unreasonable load on our infrastructure;
reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by applicable law;
submit content that is unlawful, defamatory, discriminatory, obscene, or infringes the intellectual property, privacy, or other rights of any person; or
use the Services in violation of any applicable law or regulation.

16. User Content

16.1 You retain ownership of your User Content. You are solely responsible for your User Content and for ensuring that you have all rights necessary to submit it.

16.2 You grant Nordihaus a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, translate, adapt, format, publish, and display your User Content to the extent necessary to provide, operate, and improve the Services. For Listing Materials, this license includes the right to create, publish, and display the Listing on the Website, to include it in search results and email notifications sent through the Services, and to use it in connection with the marketing of the Listing and the Services during the Listing term.

16.3 The license for Listing Materials ends when the Listing is removed from the Website, except that we may retain copies to the extent required by law, for the establishment, exercise, or defense of legal claims, or in backups that are deleted in the ordinary course. The license for other User Content ends when the User Content is deleted from the Services, subject to the same exceptions.

16.4 We are not obligated to monitor User Content, but we may review, edit, refuse, or remove User Content that we reasonably believe violates these Terms or applicable law.

17. Feedback

If you provide suggestions, ideas, or other feedback about the Services, we may use that feedback without restriction and without any obligation to compensate you. Feedback does not include your personal data, which is processed in accordance with our Privacy Policy.

18. Intellectual Property

18.1 The Services, including the Website, its design, software, databases, texts, graphics, articles, compilations, and the names and logos "Nordihaus," "Nordi+," and "Frag Nordi," are owned by or licensed to Nordihaus and are protected by intellectual property laws. Except for the limited right of use granted in Section 18.2, no rights are transferred to you.

18.2 Subject to your compliance with these Terms and, where applicable, payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your personal property search or, for Sellers and Business Users, for the purposes of the Listing services you have ordered.

18.3 Third-Party Content, including Listing photographs and descriptions, remains the property of its respective owners and may be used only as permitted by them and by applicable law.

18.4 If you believe that content on the Website infringes your copyright or other rights, or is otherwise unlawful, please notify us as described in our Content Removal Policy available on the Website, or by email to info@nordihaus.de, identifying the content concerned and the basis of your notice.

19. Third-Party Services and Links

The Services may contain links to, or rely on, websites and services operated by third parties, including real estate brokers, property portals, Payment Processors, and other service providers. We do not control and are not responsible for the content, availability, terms, or privacy practices of third-party websites and services. Your use of them is at your own risk and subject to their terms and policies.

20. Availability and Changes to the Services

20.1 We strive to keep the Services available, but we do not guarantee that the Services will be available at all times or free of errors or interruptions. The Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

20.2 We may modify, suspend, or discontinue any part of the Services. If we discontinue a Paid Plan or Listing service for which you have paid and which has not yet been fully provided, your rights under the Refund and Cancellation Policy and applicable law remain unaffected.

21. Suspension and Termination

21.1 We may suspend or restrict your access to the Services, remove content, or terminate your Account and any related contracts, if:

you materially or repeatedly breach these Terms;
we reasonably suspect fraud, misuse, or activity that may harm other users, third parties, or Nordihaus;
you fail to pay amounts that are due;
we are required to do so by law, a court order, or a request from a competent authority; or
continued provision of the Services to you would expose us to legal or regulatory risk.

21.2 Where reasonable and legally permitted, we will give you prior notice of a suspension or termination and the reasons for it and an opportunity to remedy the issue. We may act without prior notice where necessary to prevent harm, fraud, or a violation of law.

21.3 We may also terminate a Subscription for convenience with effect from the end of a billing period by giving you reasonable prior notice.

21.4 If we terminate a Paid Plan or Listing Package for reasons other than your breach of these Terms, your rights under the Refund and Cancellation Policy and applicable law remain unaffected.

21.5 Upon termination, your right to use the Services ends. Provisions of these Terms that by their nature should survive termination, including Sections 8, 9, 16.3, 17, 18, and 22 to 30, remain in effect.

22. Disclaimers

22.1 To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Nordihaus makes no warranties or representations, express or implied, regarding the accuracy, completeness, or reliability of Listings, Third-Party Content, or AI-generated content, or regarding the availability of any property, the outcome of any bidding process, or the suitability of any property for your purposes.

22.2 To the extent permitted by applicable law, Nordihaus disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

22.3 Nothing in these Terms excludes or limits any statutory rights that cannot be excluded or limited under applicable law, including statutory rights of Consumers regarding the conformity of digital content and digital services.

23. Limitation of Liability

23.1 To the extent permitted by applicable law, Nordihaus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with the Services or these Terms.

23.2 To the extent permitted by applicable law, Nordihaus shall not be liable for any loss or damage arising from Listings, Third-Party Content, AI-generated content, transactions or communications between you and third parties, or decisions you make based on information obtained through the Services.

23.3 To the extent permitted by applicable law, the total liability of Nordihaus arising out of or in connection with the Services or these Terms shall not exceed the total amount you paid to Nordihaus for the Services during the twelve (12) months preceding the event giving rise to the claim.

23.4 The limitations in this Section do not apply to liability that cannot be limited or excluded under applicable law, including liability for intent, gross negligence, fraud, or injury to life, body, or health, or liability under mandatory product liability laws. Where you are a Consumer and the laws of your country of residence so require, Nordihaus is liable for the slightly negligent breach of an obligation that is essential for the proper performance of the contract and on which you may regularly rely, but in such cases liability is limited to the foreseeable damage typical for the contract.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Nordihaus and its members, managers, and service providers from third-party claims, and related reasonable costs, arising out of your culpable breach of these Terms, your User Content, including Listing Materials, or your violation of applicable law or the rights of a third party. This obligation does not apply to the extent that the claim results from the conduct of Nordihaus.

25. Force Majeure

Nordihaus shall not be liable for any failure or delay in performing its obligations to the extent caused by events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, epidemics, failures of public networks or power supplies, cyberattacks, or failures of third-party service providers.

26. Governing Law

26.1 To the extent permitted by applicable law, these Terms and any dispute arising out of or in connection with them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

26.2 If you are a Consumer, this choice of law does not deprive you of the protection afforded to you by mandatory provisions of the law of the country in which you have your habitual residence.

27. Dispute Resolution

27.1 If a dispute arises between you and Nordihaus, both parties agree first to attempt in good faith to resolve it through informal discussions. Please contact us at info@nordihaus.de with a description of the issue and your contact details.

27.2 If a dispute cannot be resolved informally, neither party is obligated to submit it to arbitration. Each party may pursue the remedies available to it under applicable law before a court of competent jurisdiction.

27.3 For a specific dispute, the parties may subsequently agree in writing to use mediation, arbitration, or another form of alternative dispute resolution. No such procedure and no arbitration provider is agreed in advance by these Terms.

27.4 These Terms do not contain a class action waiver or a jury trial waiver.

27.5 Nordihaus is not obligated and does not agree to participate in dispute resolution proceedings before a consumer arbitration board.

27.6 If you are a Consumer, you may bring proceedings in the courts of your country of residence where mandatory applicable law provides for this.

28. Changes to These Terms

28.1 We may update these Terms from time to time, for example to reflect changes to the Services, our business, or applicable law. The updated Terms will be published on the Website with a new Effective Date.

28.2 For users with an active Subscription or an active Listing, we will notify material changes by email in advance of their effective date. If you do not agree with the changes, you may cancel your Subscription before the changes take effect. Where applicable law requires your consent to a change, we will request it, and the change will not apply to you without that consent.

28.3 Changes do not apply retroactively and do not affect purchases already completed, except where required by law.

29. Notices and Electronic Communications

You agree that we may communicate with you electronically, including by email to the address associated with your Account or order and by notices on the Website. Notices to Nordihaus should be sent to info@nordihaus.de or to our address stated in these Terms.

30. General Provisions

30.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision shall be applied to the maximum extent permitted by law.

30.2 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of all or part of our business, provided that your rights as a Consumer are not diminished. We will inform you of any such assignment where required by law.

30.3 Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

30.4 Entire Agreement. These Terms, together with the documents referred to in Section 1.4 and any individual written agreement referred to in Section 7.12, constitute the entire agreement between you and Nordihaus regarding the Services and supersede any prior agreements on the same subject matter.

30.5 No Third-Party Beneficiaries. These Terms do not confer any rights on third parties, except where expressly stated.

30.6 Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Nordihaus.

30.7 Language. These Terms are drafted in English. If we provide a translation, the English version prevails in the event of any inconsistency, to the extent permitted by applicable law.

30.8 Headings. Headings are for convenience only and do not affect the interpretation of these Terms.
